A list of current members is available at <a href=\"http:\/\/www.cabb.org\">www.cabb.org.<\/a><\/p>\n<p style=\"text-align: center;\"><span style=\"text-decoration: underline;\"><strong>BUYER ACKNOWLEDGEMENT OF INTRODUCTION AND CONFIDENTIALITY AGREEMENT<\/strong><\/span><\/p>\n<p style=\"text-align: justify;\">The undersigned Buyer acknowledges being first introduced to the business described as Business ID# (&ldquo;Business&rdquo;), by: <em><strong>Certified Business Advisors, Inc. dba M&amp;A Business Advisors<\/strong><\/em> (&ldquo;Broker&rdquo;) and requests Confidential Information (as defined below) about the Business. Such Confidential Information shall be provided to Buyer for the sole purpose of evaluating the possible purchase by Buyer of all or part of the Business. As used in this agreement (&ldquo;Agreement&rdquo;), the&nbsp; term Buyer applies to the individual executing this Agreement and any entity on whose behalf the individual is executing this Agreement.<\/p>\n<p style=\"text-align: left;\">Buyer agrees as follows:<\/p>\n<p style=\"text-align: justify;\"><strong>1. NON-DISCLOSURE OF INFORMATION:<\/strong> Buyer acknowledges that the owner of the Business (&ldquo;Seller&rdquo;) desires to maintain the confidentiality of the Confidential Information (as defined below). Buyer agrees not to disclose or permit access to any Confidential Information, whether provided before or after execution of this Agreement, without the prior written consent of Seller, to anyone other than Buyer's legal counsel, accountants, lenders or other agents or advisors to whom disclosure or access is necessary for Buyer to evaluate the Business (collectively &ldquo;Buyer Contacts&rdquo;). Disclosure of Confidential Information shall be made to the Buyer Contacts only in connection with the potential acquisition of the Business, and then only if the Buyer Contacts understand and agree to maintain the confidentiality of such Confidential Information. Buyer shall be responsible for any breach of this Agreement by the Buyer Contacts, and neither Buyer nor the Buyer Contacts shall use or permit the use of Confidential Information in any manner whatsoever, except as may be required for Buyer to evaluate the Business. If the Buyer does not purchase the Business, Buyer or Buyer&rsquo;s broker, at the earlier of the close of negotiations or within 7 days of written demand by Seller or Seller&rsquo;s broker, will destroy or return to Seller or Seller&rsquo;s broker all information provided to Buyer and will not retain any copy, reproduction or record thereof. Notwithstanding the foregoing, Buyer may disclose Confidential Information pursuant to any governmental, judicial or administrative order, subpoena or discovery request, provided that Buyer uses reasonable efforts to notify Seller sufficiently in advance of Buyer&rsquo;s response, so that Seller may seek to object to such order, subpoena or request.<\/p>\n<p style=\"text-align: justify;\"><span style=\"text-decoration: underline;\"><strong>2. DEFINITION OF CONFIDENTIAL INFORMATION:<\/strong><\/span> The term \"Confidential Information\" shall mean, in the broadest possible sense, all confidential, proprietary and trade secret information including, without limitation, the fact that the Business is for sale, all financial, production, marketing and pricing information, business methods, business manuals, manufacturing procedures, correspondence, know-how, inventions, technical information, procedures, computer programs and systems, techniques, marketing plans and strategies, product or service information, research and product development results, customer and supplier lists and information. Confidential Information shall not include information that: (a) at the time of disclosure is in the public domain through no fault of, action or failure to act by Buyer; (b) becomes known to Buyer through a third-party source without violation of any obligation of confidentiality or any other wrongful act; (c) which Buyer can establish was independently known or developed by Buyer without use of any Confidential Information.<\/p>\n<p style=\"text-align: justify;\"><span style=\"text-decoration: underline;\"><strong>3. BUYER RESPONSIBILITY AND DISCLAIMER OF BROKER LIABILITY:<\/strong><\/span> Based on information provided by sellers, brokers often prepare a summary description of the business which may include a cash flow projection, an adjusted income statement or a seller discretionary cash flow statement. Buyer understands that brokers do not audit or verify any information given to them or make any warranty or representation as to its accuracy or completeness, nor in any way guarantee future business performance. Buyer is solely responsible to examine and investigate the Business, its assets, liabilities, financial statements, tax returns and any other facts which might influence Buyer's purchase decision or the price Buyer is willing to pay. Any decision by Buyer to purchase the Business shall be based solely on Buyer's own investigation and that of Buyer's legal, tax and other advisors and not that of brokers. Buyer agrees to use a licensed escrow company and agrees to sign the Closing Release, Hold Harmless, Indemnification and Defense Agreement.<\/p>\n<p style=\"text-align: justify;\"><span style=\"text-decoration: underline;\"><strong>4. NON-CIRCUMVENTION AGREEMENT:<\/strong> <\/span>The Seller has entered into an agreement providing that Seller shall pay a fee to the Seller&rsquo;s broker if, during the term of that agreement or up to twenty-four months thereafter, the Business is transferred to a buyer introduced by the Seller&rsquo;s broker or a buyer&rsquo;s broker. Buyer shall conduct all inquiries into and discussions about the Business solely through the broker identified above and shall not directly contact the Seller or the Seller's representatives without written authorization by the Seller&rsquo;s broker. Should Buyer or any person or entity affiliated with Buyer purchase all or part of the Business, acquire any interest in, or become affiliated in any capacity with the Business without the involvement of the broker(s) or in any way interfere with either broker&rsquo;s right to a fee, Buyer shall be liable to the broker(s) for such fee.<\/p>\n<p style=\"text-align: justify;\"><span style=\"text-decoration: underline;\"><strong>5. FURTHER TERMS:<\/strong><\/span> For a period of three years, Buyer will not contact Seller's employees, customers, landlords or suppliers, or otherwise observe the Business, without Seller's consent, nor shall Buyer directly or indirectly solicit for employment any employees of Seller. Seller and Seller's successors are specifically intended to be beneficiaries of the duties and obligations of this Agreement and may prosecute any action at law or in equity necessary to enforce its terms and conditions as though a party hereto. This Agreement can only be modified in writing, signed by both Buyer and Seller or Seller&rsquo;s broker. Waiver of any breach of this Agreement shall not be a waiver of any subsequent breach. This Agreement supersedes all prior understandings or agreements between the parties with respect to its subject matter. This Agreement shall be construed under and governed by the laws of the State of California. The venue for any action instituted to enforce any terms of the Agreement shall be in the county in which the Business is located. Buyer acknowledges that it would be extremely difficult to measure the amount of damages to Seller arising from a breach or threatened breach of any provision of this Agreement, and that money damages would be an inadequate remedy. Seller shall be entitled to temporary and permanent injunctive relief to restrain the Buyer from any such breach or threatened breach. This Agreement may be signed in counterparts and faxed and electronic signatures may be considered as originals. If Buyer is a corporation, partnership or other such entity, the undersigned executes this Agreement on behalf of Buyer and warrants that he or she is duly authorized to do so. In the event of any litigation to enforce this Agreement, the prevailing party shall be entitled to recover all costs and expenses incurred, including reasonable attorneys' fees and court costs, in addition to such other relief as may be awarded. Listing agents and selling agents shall provide the seller and buyer in a real property transaction with a copy of the disclosure form specified in Section 2079.16, and, except as provided in subdivision (c), shall obtain a signed acknowledgment of receipt from that seller or buyer, except as provided in this section or Section 2079.15, as follows: <strong>(a)<\/strong> The listing agent, if any, shall provide the disclosure form to the seller prior to entering into the listing agreement.&nbsp; (<strong>b)<\/strong> The selling agent shall provide the disclosure form to the seller as soon as practicable prior to presenting the seller with an offer to purchase, unless the selling agent previously provided the seller with a copy of the disclosure form pursuant to subdivision (a).&nbsp; (<strong>c)<\/strong> Where the selling agent does not deal on a face-to-face basis with the seller, the disclosure form prepared by the selling agent may be furnished to the seller (and acknowledgment of receipt obtained for the selling agent from the seller) by the listing agent, or the selling agent may deliver the disclosure form by certified mail addressed to the seller at his or her last known address, in which case no signed acknowledgment of receipt is required.&nbsp; (<strong>d)<\/strong> The selling agent shall provide the disclosure form to the buyer as soon as practicable prior to execution of the buyer's offer to purchase, except that if the offer to purchase is not prepared by the selling agent, the selling agent shall present the disclosure form to the buyer not later than the next business day after the selling agent receives the offer to purchase from the buyer.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.15.<\/strong> In any circumstance in which the seller or buyer refuses to sign an acknowledgment of receipt pursuant to Section 2079.14, the agent, or an associate licensee acting for an agent, shall set forth, sign, and date a written declaration of the facts of the refusal.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.16. <\/strong>Reproduced on page 1 of this form.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.17. <\/strong>&nbsp;<strong>(a)<\/strong> As soon as practicable, the selling agent shall disclose to the buyer and seller whether the selling agent is acting in the real property transaction exclusively as the buyer's agent, exclusively as the seller's agent, or as a dual agent representing both the buyer and the seller. This relationship shall be confirmed in the contract to purchase and sell real property or in a separate writing executed or acknowledged by the seller, the buyer, and the selling agent prior to or coincident with execution of that contract by the buyer and the seller, respectively. &nbsp;<strong>(b)<\/strong> As soon as practicable, the listing agent shall disclose to the seller whether the listing agent is acting in the real property transaction exclusively as the seller's agent, or as a dual agent representing both the buyer and seller. This relationship shall be confirmed in the contract to purchase and sell real property or in a separate writing executed or acknowledged by the seller and the listing agent prior to or coincident with the execution of that contract by the seller. &nbsp;<strong>(c)<\/strong> The confirmation required by subdivisions (a) and (b) shall be in the following form:<\/p><\/div><fieldset No selling agent in a real property transaction may act as an agent for the buyer only, when the selling agent is also acting as the listing agent in the transaction.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.19.<\/strong> The payment of compensation or the obligation to pay compensation to an agent by the seller or buyer is not necessarily determinative of a particular agency relationship between an agent and the seller or buyer. A listing agent and a selling agent may agree to share any compensation or commission paid, or any right to any compensation or commission for which an obligation arises as the result of a real estate transaction, and the terms of any such agreement shall not necessarily be determinative of a particular relationship.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.20<\/strong>. Nothing in this article prevents an agent from selecting, as a condition of the agent's employment, a specific form of agency relationship not specifically prohibited by this article if the requirements of Section 2079.14 and Section 2079.17 are complied with.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.21.<\/strong> A dual agent shall not disclose to the buyer that the seller is willing to sell the property at a price less than the listing price, without the express written consent of the seller. A dual agent shall not disclose to the seller that the buyer is willing to pay a price greater than the offering price, without the express written consent of the buyer. This section does not alter in any way the duty or responsibility of a dual agent to any principal with respect to confidential information other than price.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.22<\/strong>. Nothing in this article precludes a listing agent from also being a selling agent, and the combination of these functions in one agent does not, of itself, make that agent a dual agent. <strong>2079.23<\/strong>. (a) A contract between the principal and agent may be modified or altered to change the agency relationship at any time before the performance of the act which is the object of the agency with the written consent of the parties to the agency relationship. (b) A lender or an auction company retained by a lender to control aspects of a transaction of real property subject to this part, including validating the sales price, shall not require, as a condition of receiving the lender's approval of the transaction, the homeowner or listing agent to defend or indemnify the lender or auction company from any liability alleged to result from the actions of the lender or auction company. Any clause, provision, covenant, or agreement purporting to impose an obligation to defend or indemnify a lender or an auction company in violation of this subdivision is against public policy, void, and unenforceable.<\/p>\n<p style=\"text-align: justify;\"><strong>2079.24<\/strong>. Nothing in this article shall be construed to either diminish the duty of disclosure owed buyers and sellers by agents and their associate licensees, subagents, and employees or to relieve agents and their associate licensees, subagents, and employees from liability for their conduct in connection with acts governed by this article or for any breach of a fiduciary duty or a duty of
